Terms of Service

1. Acceptance of Terms

By accessing or using any part of the PixoShare platform ("Service"), including our websites, desktop applications, mobile applications, APIs, and cloud services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and PixoShare LLC ("PixoShare," "we," "us," or "our").

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and that you have the legal authority to bind the business entity on whose behalf you are using the Service.

If you do not agree to all of the provisions of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. Description of Service

PixoShare provides cloud-based photo and video sharing tools designed for photo booth operators at live events. The Service includes, but is not limited to:

  • A Windows desktop application for uploading event media from any photo booth software
  • An iPad application that serves as a sharing station for event guests
  • A web-based dashboard for managing events, templates, and analytics
  • Cloud infrastructure for processing, storing, and delivering event media
  • Delivery of event media to guests via SMS text message, email, QR code, AirDrop, and branded collection pages
  • Custom branding tools including email template builder, microsite builder, and overlay customization

PixoShare is designed to operate in both online and offline environments. When an internet connection is unavailable, media delivery is queued locally on the device and automatically synced when connectivity is restored.

3. Account Registration & Security

To use the Service, you must create an account by providing accurate, current, and complete information during the registration process. You agree to update your account information promptly if it changes.

You are responsible for safeguarding the password and any other credentials used to access your account. You are fully responsible for all activities that occur under your account, including activities by any authorized users you add. You agree to notify us immediately of any unauthorized use of your account.

Each business entity may maintain one primary account. Team members may be added as authorized users under that account as permitted by your subscription plan.

4. Subscription Plans & Billing

PixoShare offers multiple subscription plans with varying feature sets and usage limits. Current plans and pricing are available on our Pricing page.

Free trial. New accounts receive a 14-day free trial with access to all features. No credit card is required to begin your trial.

Billing. All paid subscriptions are billed through Stripe. You authorize PixoShare to charge your selected payment method on a recurring monthly or annual basis, depending on the billing cycle you choose. Annual subscriptions are billed as a single charge at the beginning of each annual period.

Plan changes. Upgrades to a higher-tier plan take effect immediately and are prorated for the remainder of your current billing cycle. Downgrades take effect at the end of your current billing cycle.

Cancellation. You may cancel your subscription at any time from your account dashboard. Cancellation stops future charges, but your access to the Service continues until the end of your current paid period.

Refunds. Fees are non-refundable. No refunds or credits will be issued for partial billing periods, plan downgrades, or unused time on your subscription, except where required by applicable law.

5. SMS & Email Messaging Terms

PixoShare sends SMS text messages and emails on behalf of photo booth operators to event guests for the sole purpose of delivering event media (photos and videos). All messages sent through the Service are transactional in nature and are not used for marketing, advertising, or promotional purposes.

Guest consent. Guests voluntarily provide their phone number or email address at the event sharing station to receive their event media. By entering their contact information, guests consent to receive transactional messages containing links to their photos and videos. Operators are responsible for ensuring that guest consent is obtained at the point of sharing.

Opt-out. Every SMS message sent through PixoShare includes opt-out instructions. Guests may reply STOP at any time to unsubscribe from further messages. Opt-out requests are processed immediately and automatically.

Message frequency. Guests typically receive 1 to 3 messages per event session, depending on the number of sharing actions they initiate. With the Collections feature, multiple media items are bundled into a single link, further reducing message volume.

Rates. Standard message and data rates may apply to SMS messages received by guests, depending on their carrier and mobile plan.

Prohibited use. Operators must not use the PixoShare messaging service for marketing campaigns, spam, unsolicited messages, or any purpose other than the delivery of event media requested by guests. Violation of this policy may result in immediate suspension or termination of your account.

Data handling. PixoShare does not sell, share, or retain guest phone numbers or email addresses beyond what is necessary to complete the media delivery transaction. Guest contact information is not used for any secondary purpose.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Violate the intellectual property rights, privacy rights, or other rights of any third party
  • Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use the Service to generate excessive load, engage in denial-of-service attacks, or otherwise abuse system resources
  • Transmit any malware, viruses, worms, or other malicious code through the Service
  • Use the Service in any manner that violates applicable local, state, national, or international law

All event media uploaded to and shared through the Service must comply with applicable laws, including without limitation laws regarding consent, privacy, and intellectual property. Operators are solely responsible for the content of the media they upload and share.

7. Intellectual Property

Our property. The Service, including all software, websites, applications, designs, text, graphics, and other content created by PixoShare, is owned by PixoShare LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Your content. You retain all ownership rights to the event media (photos and videos) you upload through the Service. By using PixoShare, you grant us a limited, non-exclusive, royalty-free license to process, store, transmit, and display your media solely for the purpose of providing and improving the Service.

Custom branding. Any logos, brand colors, templates, or other branding assets you upload to customize your experience remain your property. PixoShare does not claim any ownership over your branding materials.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you consent to the data practices described in our Privacy Policy.

Event media is stored on enterprise-grade cloud infrastructure located in the United States. Guest personal data, including phone numbers and email addresses, is used exclusively for the purpose of delivering event media and is not shared with third parties for marketing or any other unrelated purpose.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PixoShare does not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for SMS or email delivery failures caused by third-party carriers, internet service providers, or spam filters outside our control.

IN NO EVENT SHALL PIXOSHARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees paid by you to PixoShare during the twelve (12) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PixoShare LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Event media or other content you upload, share, or distribute through the Service
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Any claim by a guest or other third party related to media delivered through your account

11. Termination

Either party may terminate this agreement at any time. You may cancel your account through your dashboard settings or by contacting our support team.

PixoShare reserves the right to suspend or terminate your account immediately, without prior notice, if we reasonably believe that you have violated these Terms, including but not limited to the Acceptable Use Policy or SMS & Email Messaging Terms.

Upon termination, your right to use the Service ceases immediately. Your event media and account data will be retained for thirty (30) days following termination, during which time you may request an export of your data. After 30 days, all data associated with your account will be permanently deleted from our systems.

12. Modifications to Terms

PixoShare reserves the right to update or modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days' prior notice via email to the address associated with your account before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service before the changes take effect.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Houston, Texas, and the language of the arbitration shall be English.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against PixoShare.
